1. Introduction
1.1 These Terms & Conditions ("Terms") govern your access to and use of the Alarion website, mobile application and other digital platforms through which hotel and accommodation services may be searched, compared and booked ("Platform").
1.2 The Platform is operated by ALARION HOSPITALITY PRIVATE LIMITED, a company incorporated under the applicable laws of India ("Alarion", "we", "us" or "our").
1.3 By accessing, browsing or using the Platform, or by making a booking through the Platform, you ("Customer", "you" or "your") agree to be bound by these Terms and the applicable terms displayed at the time of booking.
1.4 If you do not agree with these Terms, you should not use the Platform or make a booking through it.
2. Definitions
2.1 "Customer" means any person who accesses the Platform or makes, or is intended to make, a booking through the Platform.
2.2 "Hotel" or "Property" means the hotel, resort, serviced apartment, homestay or other accommodation provider listed on the Platform.
2.3 "Booking" means a reservation for accommodation made through the Platform.
2.4 "Booking Confirmation" means the electronic confirmation issued by Alarion containing the relevant details of a confirmed booking.
2.5 "Booking Amount" means the amount payable by the Customer for the applicable booking, including applicable taxes, fees and charges shown before payment.
3. About Alarion and Its Role
3.1 Alarion operates an online platform that enables Customers to search for and book accommodation offered by participating Hotels and Properties.
3.2 Unless expressly stated otherwise for a particular booking, the accommodation and related on-property services are provided by the respective Hotel or Property.
3.3 Alarion facilitates the booking process through its Platform and communicates the applicable booking information, terms and conditions to the Customer.
3.4 The specific Hotel's policies and conditions displayed on the Platform at the time of booking shall also apply to the relevant booking.
3.5 Nothing in these Terms shall be interpreted as excluding any rights or remedies available to the Customer under applicable law.
4. Eligibility
4.1 You must have the legal capacity to enter into a binding contract under applicable law to use the Platform and make a booking.
4.2 Where a booking is made for or involves a minor, the booking must be made or authorised by a parent, legal guardian or other legally authorised person.
4.3 You shall ensure that all information provided by you is true, accurate and complete.
5. Customer Account and Information
5.1 Certain features of the Platform may require you to create an account or provide personal and booking information.
5.2 You are responsible for maintaining the confidentiality of your account credentials and for activities carried out through your account.
5.3 You must immediately inform Alarion if you reasonably believe that your account has been accessed or used without your authorisation.
5.4 Alarion may suspend or restrict an account where it reasonably believes that the account is being misused, used fraudulently or operated in violation of these Terms or applicable law.
6. Hotel Information
6.1 Alarion makes reasonable efforts to display accurate information received from Hotels and other relevant sources regarding room types, facilities, photographs, amenities, location, policies and other booking information.
6.2 Hotel information may change from time to time, and the information applicable to a booking shall generally be the information and conditions displayed to the Customer at the time the booking is made.
6.3 Photographs and descriptions are provided for general information and may not represent every aspect of the actual room or property.
6.4 Hotel facilities and services may be subject to availability, maintenance, seasonal restrictions, operational requirements or additional charges as disclosed by the Hotel.
7. Availability of Rooms
7.1 Room availability displayed on the Platform is subject to the availability provided by the respective Hotel or Property.
7.2 Availability is not guaranteed until the Customer receives a valid Booking Confirmation.
7.3 Alarion may communicate with the Customer if there is an issue affecting the availability or confirmation of a requested booking.
8. Booking Process
8.1 The Customer may select the Hotel, room type, dates, number of guests and applicable options available on the Platform.
8.2 Before completing payment, the Customer should carefully review the Hotel details, room category, occupancy, meal plan, applicable taxes and charges, booking conditions and other applicable terms.
8.3 The Customer is responsible for ensuring that the booking information entered before payment is correct.
8.4 A booking request shall become a confirmed booking only when the Customer receives a Booking Confirmation from Alarion, unless the applicable booking specifically states otherwise.
9. Booking Confirmation
9.1 The Booking Confirmation may include the Hotel name, booking reference, room category, guest details, check-in date, check-out date, number of guests, meal plan, booking amount and applicable booking conditions.
9.2 The Customer should carefully check the Booking Confirmation immediately after receiving it.
9.3 Any apparent error in the Booking Confirmation should be reported to Alarion promptly so that it can be reviewed and, where possible, corrected.
9.4 The Customer should retain the Booking Confirmation and present the required booking reference at check-in.
10. Prices, Taxes and Charges
10.1 The applicable price payable by the Customer shall be the amount displayed before completion of the booking, subject to the applicable booking conditions.
10.2 Applicable taxes, government levies, service charges and other mandatory charges, where applicable, shall be displayed or communicated to the Customer before payment to the extent required by applicable law.
10.3 Certain Hotel-specific charges, including security deposits, incidental charges, parking charges, early check-in charges, late check-out charges or other optional services, may be payable directly to the Hotel where disclosed in the applicable booking conditions.
10.4 The Customer is responsible for reviewing the final price and applicable conditions before completing the booking.
11. Payment
11.1 Payment may be made using the payment methods made available by Alarion or its authorised payment service providers.
11.2 The Customer authorises the applicable payment service provider to process the payment required for the booking.
11.3 A payment transaction does not by itself constitute confirmation of a booking unless the Customer receives a Booking Confirmation.
11.4 If a payment is debited but the booking is not confirmed, the Customer should contact Alarion with the relevant transaction details for verification and resolution.
11.5 Alarion may take reasonable steps to prevent or investigate suspected fraudulent, unauthorised or suspicious transactions.
12. Check-in and Check-out
12.1 The Customer and all guests shall comply with the Hotel's applicable check-in and check-out timings.
12.2 Early check-in and late check-out shall be subject to Hotel availability and may involve additional charges.
12.3 The Hotel may require valid identification and other information from guests in accordance with applicable law and the Hotel's policies.
12.4 The Hotel may require a security deposit or payment for incidental expenses where such requirement is disclosed or applicable under the Hotel's policy.
12.5 The Customer and guests must comply with reasonable Hotel rules relating to occupancy, safety, conduct, use of facilities and property.
13. Guest Details and Occupancy
13.1 The Customer shall provide correct guest names, contact details, number of guests and other information required for the booking.
13.2 The Customer shall ensure that the number of occupants does not exceed the permitted occupancy of the booked room.
13.3 Additional guests, extra beds, children and other occupancy arrangements shall be subject to the applicable Hotel policy and availability.
13.4 The Hotel may refuse accommodation where the booking or occupancy materially violates the applicable Hotel policy or applicable law.
14. Hotel Policies
14.1 Each Hotel may have its own policies relating to check-in, identification, age restrictions, children, pets, smoking, visitors, parking, events, deposits and use of facilities.
14.2 Such policies shall apply to the Customer and guests where they are displayed or otherwise communicated as applicable to the booking.
14.3 The Customer is responsible for reviewing and complying with the applicable Hotel policies.
15. Special Requests
15.1 Customers may submit special requests through the Platform where the facility is available.
15.2 Special requests are subject to Hotel availability and cannot be treated as confirmed unless specifically confirmed by Alarion or the Hotel.
15.3 Alarion does not guarantee that every special request can be fulfilled.
16. Modification of Booking
16.1 Any request to modify a booking shall be subject to the applicable booking conditions, Hotel availability and any applicable charges.
16.2 A modification shall not be considered effective until it is confirmed by Alarion or through the applicable booking system.
16.3 The Customer should not assume that a requested change has been accepted until written or electronic confirmation is received.
17. Cancellation and Refund
17.1 Cancellation and refund of a booking shall be governed by the Alarion Refund and Cancellation Policy and the specific cancellation conditions displayed for that booking.
17.2 The Customer is responsible for reviewing the applicable cancellation conditions before completing the booking.
17.3 The detailed cancellation and refund provisions are intentionally governed by the separate Refund and Cancellation Policy applicable to the booking.
18. No-Show and Non-Utilisation of Booking
18.1 If the Customer or guest does not arrive at the Hotel as scheduled, the booking may be treated as a "No-Show" in accordance with the applicable booking conditions.
18.2 The consequences of a No-Show shall be governed by the applicable booking conditions and Refund and Cancellation Policy.
18.3 Failure to use part of a booking does not automatically entitle the Customer to a refund or other adjustment unless applicable terms provide otherwise.
19. Hotel Cancellation, Overbooking or Failure to Honour a Booking
19.1 If a Hotel is unable to honour a confirmed booking due to overbooking, operational reasons or other circumstances attributable to the Hotel, Alarion shall make reasonable efforts to assist the Customer in accordance with the applicable booking conditions.
19.2 Depending on the circumstances and availability, assistance may include arranging an alternative accommodation or processing an applicable refund.
19.3 Any alternative accommodation shall be subject to availability and the circumstances of the particular case.
19.4 The Customer shall reasonably cooperate with Alarion and the Hotel to resolve such situations.
20. Hotel Services and On-Property Issues
20.1 The Hotel is responsible for providing the accommodation and on-property services included in the confirmed booking.
20.2 If a Customer experiences an issue during the stay, the Customer should first report the matter to the Hotel and may also contact Alarion for assistance.
20.3 Alarion may communicate with the Hotel and reasonably assist in resolving the issue, subject to the nature of the complaint and the applicable booking terms.
20.4 Nothing in these Terms prevents a Customer from exercising any statutory rights available under applicable law.
21. Customer Responsibilities
21.1 The Customer shall use the Platform only for lawful and legitimate purposes.
21.2 The Customer shall provide genuine information and shall not make bookings using false identities or misleading information.
21.3 The Customer shall not make fraudulent, speculative, duplicate or abusive bookings.
21.4 The Customer shall not misuse promotional offers, coupons, refunds, payment systems or other Platform facilities.
21.5 The Customer shall comply with applicable laws and the reasonable rules of the Hotel during the stay.
22. Prohibited Activities
The Customer shall not:
22.1 use the Platform for any unlawful purpose;
22.2 impersonate another person or provide false information;
22.3 attempt to gain unauthorised access to the Platform or another person's account;
22.4 interfere with the operation or security of the Platform;
22.5 introduce malicious code, viruses or harmful software;
22.6 use automated systems to improperly extract or manipulate Platform information;
22.7 engage in fraudulent transactions or payment activities; or
22.8 use the Platform in any manner that violates applicable law or these Terms.
23. Promotions, Discounts and Coupons
23.1 Alarion may offer promotional rates, discounts, coupons or other benefits from time to time.
23.2 Each promotion may have separate eligibility requirements, validity periods and conditions.
23.3 Promotional benefits cannot be transferred, sold or misused unless expressly permitted.
23.4 Alarion may withdraw or restrict a promotion where it reasonably determines that the promotion has been obtained through fraud, misuse or violation of its conditions, subject to applicable law.
24. Reviews and User Content
24.1 Where the Platform permits reviews, ratings or other user-generated content, Customers shall provide genuine and relevant information based on their actual experience.
24.2 Customers shall not post fraudulent, defamatory, unlawful, abusive, threatening or misleading content.
24.3 Customers shall not upload content that infringes another person's intellectual property, privacy or other legal rights.
24.4 Alarion may moderate or remove content that violates applicable law or the Platform's applicable policies.
25. Intellectual Property
25.1 All intellectual property rights in the Platform, including its software, design, branding, logos, text, graphics and other original content, belong to Alarion or its respective licensors.
25.2 The Customer is granted a limited, non-exclusive and non-transferable right to use the Platform for personal and lawful purposes.
25.3 The Customer shall not copy, reproduce, modify, distribute, sell or commercially exploit the Platform or its content without prior written permission from Alarion.
26. Third-Party Services and Links
26.1 The Platform may use or provide access to third-party services, including payment service providers, technology providers and external websites.
26.2 Third-party services may be subject to their own terms and policies.
26.3 Alarion shall not be responsible for matters solely arising from a third party's independent services, except to the extent required by applicable law.
27. Platform Availability
27.1 Alarion will make reasonable efforts to keep the Platform available and functional.
27.2 The Platform may occasionally be unavailable because of maintenance, upgrades, technical failures, security issues or circumstances beyond Alarion's reasonable control.
27.3 Alarion does not guarantee uninterrupted or error-free operation of the Platform.
28. Errors in Information or Pricing
28.1 Alarion takes reasonable steps to maintain accurate information on the Platform but may occasionally receive incorrect information or experience technical errors.
28.2 If a material error is identified in a booking, price, availability or other important information, Alarion may contact the Customer to clarify or resolve the issue.
28.3 Any action taken in relation to a material error shall be consistent with applicable law and the Customer's statutory rights.
29. Fraud Prevention and Booking Security
29.1 Alarion may conduct reasonable checks to protect Customers, Hotels and the Platform from fraudulent or unauthorised transactions.
29.2 Where there are reasonable grounds to suspect fraud, misuse or unlawful activity, Alarion may investigate the transaction and take appropriate action in accordance with applicable law.
29.3 Alarion may cooperate with payment service providers, Hotels, law-enforcement authorities or other competent authorities where legally required.
30. Suspension or Termination
30.1 Alarion may suspend or restrict access to the Platform where reasonably necessary because of fraud, misuse, security concerns, violation of these Terms or applicable law.
30.2 Such action shall be taken subject to applicable law and shall not affect any statutory rights available to the Customer.
30.3 Termination or suspension of access does not automatically extinguish obligations that have already accrued.
31. Disclaimer
31.1 Alarion will make reasonable efforts to provide accurate Platform information and facilitate hotel bookings.
31.2 However, Hotel facilities, availability, services and operational conditions may be affected by circumstances outside Alarion's reasonable control.
31.3 Nothing in these Terms excludes or limits any liability or right that cannot lawfully be excluded or limited under applicable law.
32. Limitation of Liability
32.1 To the extent permitted by applicable law, Alarion shall not be responsible for losses arising solely from circumstances beyond its reasonable control or from the independent acts or omissions of a Hotel or other third party.
32.2 Alarion shall remain responsible for its own obligations and conduct to the extent required by applicable law.
32.3 Nothing in these Terms shall exclude liability that cannot legally be excluded or limit any statutory rights or remedies available to the Customer.
33. Indemnity
33.1 The Customer agrees to indemnify Alarion against reasonable losses, claims or expenses arising directly from the Customer's unlawful conduct, fraud, wilful misconduct or material breach of these Terms.
33.2 This clause shall not apply to the extent that the relevant loss was caused by Alarion's own unlawful act, negligence or breach of its legal obligations.
34. Force Majeure
34.1 Alarion shall not be responsible for delay or failure to perform an obligation to the extent caused by circumstances beyond its reasonable control.
34.2 Such circumstances may include natural disasters, floods, earthquakes, fire, epidemics, government restrictions, war, civil disturbances, strikes, major infrastructure failures, telecommunications failures or other comparable events beyond reasonable control.
34.3 Where such circumstances affect a booking, Alarion shall make reasonable efforts to assist the Customer in accordance with applicable booking conditions and applicable law.
35. Customer Communications
35.1 The Customer agrees that Alarion may communicate booking-related information through email, SMS, telephone, WhatsApp or other communication channels provided by the Customer, subject to applicable law and the Customer's applicable communication preferences.
35.2 Customers should ensure that their contact details remain accurate so that important booking communications can be delivered.
36. Grievance Redressal
36.1 Alarion shall maintain an appropriate mechanism for Customers to raise complaints or grievances relating to the Platform or bookings.
36.2 The details of the designated Grievance Officer and applicable contact information shall be displayed on the Platform.
36.3 Customers should provide sufficient booking and complaint details to enable Alarion to investigate and respond appropriately.
The Consumer Protection Department publishes the Consumer Protection (E-Commerce) Rules and related materials, so the final published version should be checked against the applicable requirements for Alarion's exact e-commerce model.
37. Consumer Rights
37.1 Nothing in these Terms is intended to take away or restrict any right or remedy available to a Customer under applicable consumer protection or other laws of India.
37.2 Where any provision of these Terms conflicts with a mandatory requirement of applicable law, the mandatory legal requirement shall prevail to the extent of the conflict.
38. Changes to These Terms
38.1 Alarion may update these Terms from time to time to reflect changes in its services, business practices or applicable law.
38.2 The updated Terms shall be published on the Platform with the applicable effective date.
38.3 The Terms applicable to a confirmed booking shall not be changed retrospectively in a manner that materially prejudices the Customer's confirmed contractual rights, except where required by law or expressly permitted by the applicable booking conditions.
39. Governing Law
39.1 These Terms shall be governed by and interpreted in accordance with the laws of India.
39.2 Any dispute shall be dealt with in accordance with applicable Indian law and the jurisdiction provisions applicable to the Customer and the transaction.
Important: I recommend that Alarion's lawyer specifically finalise the jurisdiction wording rather than inserting an arbitrary "exclusive jurisdiction" clause. This is safer for a consumer-facing platform.
40. Severability
40.1 If any provision of these Terms is held to be invalid or unenforceable under applicable law, the remaining provisions shall continue to remain effective to the extent legally permissible.
41. Waiver
41.1 Failure by Alarion to enforce any provision of these Terms on any occasion shall not constitute a waiver of its right to enforce that provision subsequently.
42. Entire Agreement
42.1 These Terms, together with the applicable booking conditions, Hotel-specific terms, Refund and Cancellation Policy and other policies expressly incorporated into the booking, constitute the terms governing the Customer's use of the Platform and the applicable booking, subject to applicable law.
